Thomson Law assists clients with formation of limited liability companies and corporations. We will assist you with deciding which entity may work best for you and preparing and filing articles of organization or articles of incorporation creating your company. Representation may also include:
- Drafting the Operating Agreement for an LLC – The operating agreement will include the terms, obligations and responsibilities of the members and/or managers of the company. An operating agreement may include provisions addressing who has management control of the company, what will happen upon the death of a member, and any restrictions upon transfer of membership interests.
- Drafting the Bylaws for a Corporation – The Bylaws will set forth the manner in which the corporation is to conduct business. Shareholder and officer rights and responsibilities are established in the Bylaws. The Bylaws may also address what will happened upon the death of a shareholder or if a shareholder desires to sell or transfer his or her shares of stock. Such agreements and restrictions may also be established through a separate shareholder’s buy-sell agreement.
- Creating and issuing Membership Certificates or Stock Certificates.
- Conducting a first meeting and creating the first set of meeting minutes.
- Preparing any necessary transfer documents; including quit claim deeds and bills of sale.
- Creation of the initial company or corporate book.
